1. Acceptance and Definitions

These Terms of Use ("Terms") are an agreement between you and WebWatchr Inc ("WebWatchr," "we," "us," or "our") and govern your access to and use of the Service.

"Service" means WebWatchr's products and services, including the website and application dashboard at webwatchr.io, WebWatchr mobile applications, the WebWatchr browser extension, the WebWatchr API, and the WebWatchr CLI.

"Monitoring Data" means snapshots, screenshots, extracted page text, change-diff outputs, execution logs, and related metadata generated when monitoring targets you configure.

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

You must be at least 18 years old to use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization.

We may update these Terms from time to time. Material updates become effective when posted or when otherwise communicated to you.


2. Accounts, Access, and Security

You are responsible for your account, credentials, authentication tokens, API keys, and any activity performed through your account. You must promptly notify us of unauthorized access.

We may suspend or restrict access if required for security, legal compliance, abuse prevention, or protection of the Service and other users.


3. Subscription Plans, Billing, and Refunds

Plan pricing, features, limits, and metering rules are those presented at the time of purchase, including on our pricing page and checkout pages.

Paid plans are billed in advance on a recurring basis unless otherwise stated. Subscriptions automatically renew until canceled.

If you cancel, your paid access continues until the end of your current billing period, and your account may have the account paused after that period until a paid subscription is active.

Plan change flows may be subject to product constraints shown in the Service.

You authorize us and our payment processor to charge all fees, taxes, and other amounts due under your selected plan.

Subscription fees, usage credits, and feature allowances are non-refundable and non-transferable except where required by applicable law.


4. Data and Privacy

Our collection and use of personal information are described in the Privacy Policy. You acknowledge that we process account data and Monitoring Data to provide, secure, and improve the Service.

Retention, deletion, and backup handling are governed by the Privacy Policy. Cancellation does not create a guaranteed fixed deletion timeline unless required by law.


5. Acceptable Use and User Responsibilities

You must use the Service lawfully and only for targets and content you are authorized to monitor, access, and process. You must only monitor websites and pages for which you have permission or legal authorization. It is your responsibility to ensure that your use of the Service complies with each target site's terms of service, acceptable use policies, and applicable laws.

You must not:

  • Monitor, scrape, or collect data in violation of law, contract, or third-party rights.
  • Use stolen, unauthorized, or unlawfully obtained credentials, cookies, session tokens, or API keys.
  • Share API keys with unauthorized parties or attempt to bypass rate limits, usage limits, or security controls.
  • Use webhooks or integrations for abusive, deceptive, unlawful, or harmful activity.
  • Interfere with the Service, attempt unauthorized access, or disrupt other users.
  • Use proxy features to route traffic through infrastructure you do not own or have authorization to use, or to circumvent security controls on target websites without authorization.

You are solely responsible for the legality, accuracy, and rights status of content and targets you configure for monitoring.


6. AI Features and Monitoring Output Disclaimer

The Service may use automated analysis and AI-assisted features to summarize or classify changes. Monitoring and AI outputs may be incomplete, delayed, inaccurate, or unavailable.

You are responsible for reviewing outputs before relying on them for business, legal, technical, or operational decisions.


7. Third-Party Services and Mobile App Stores

The Service may integrate with third-party services. Your use of third-party products is governed by their own terms and policies.

Apple App Store Supplemental Terms:If you access a mobile application through Apple's App Store, your license is limited to use on Apple-branded products you own or control, as permitted by Apple's usage rules. Apple is not responsible for maintenance, support, or warranty obligations for the app. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it.

Google Play Supplemental Terms: If you access a mobile application through Google Play, you must comply with applicable Google Play terms, policies, and usage rules.


8. Intellectual Property and License

We and our licensors retain all rights, title, and interest in and to the Service, including software, models, documentation, and related intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal lawful purposes.


9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBWATCHR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted operation, error-free performance, always-accurate detections, or continuous availability of monitored third-party targets.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBWATCHR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBWATCHR'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO WEBWATCHR FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.


11. Indemnification

You will defend, indemnify, and hold harmless WebWatchr and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Monitoring Data, your violation of these Terms, or your violation of law or third-party rights.


12. Suspension and Termination

We may suspend or terminate access immediately for breach, security risk, legal compliance, suspected fraud, abuse, or to protect the Service.

You may stop using the Service at any time, and you may cancel paid subscriptions through available account settings.

Sections that by nature should survive termination, including billing obligations, disclaimers, limitation of liability, indemnification, and dispute provisions, survive termination.


13. Dispute Resolution, Governing Law, and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

Before filing a claim, each party agrees to attempt in good faith to resolve the dispute informally by written notice. If unresolved within thirty (30) days after notice, either party may proceed with formal action.

Any dispute not resolved informally must be brought exclusively in the courts located in Ontario, Canada, and each party irrevocably submits to those courts.

To the extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any class, consolidated, or representative proceeding.


14. General Terms

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver.

These Terms and the Privacy Policy are the entire agreement between you and WebWatchr regarding the Service and supersede prior or contemporaneous agreements relating to the same subject matter.

Notices to WebWatchr under these Terms must be sent to support@webwatchr.io.
